End User License Agreement

By downloading, installing, or using Layrd (the "App"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, do not use the App.

These Terms constitute a legally binding agreement between you and SARL Pitsana ("we", "our", or "us"), a French company registered in France.

Layrd is an iOS productivity application that turns your personal data into structured, AI-ready packs. The App connects to HealthKit, Calendar, and Reminders to build data packs usable with any AI assistant. The App is available for iOS and iPadOS devices.

The App offers both free and premium features:

• Free Version: 10 data packs, basic features, limited privacy profiles.
• Premium : Unlimited packs, all prompt templates, advanced privacy profiles, AI insights, all export formats.

Requires iOS 18.0 or later.

3.1 Subscription Plans

Layrd Premium is available through the following auto-renewing subscription plans:

Prices may vary by region. Local pricing and applicable taxes will be displayed in the App Store before purchase.

3.2 Free Trial

New subscribers may be eligible for a free trial of Layrd Premium. During the trial period:

• You have full access to all Premium features.
• You will not be charged until the trial period ends.
• You can cancel anytime during the trial without being charged.
• If you do not cancel before the trial ends, you will automatically be charged for your chosen subscription plan.

The free trial is available only once per Apple ID. If you have previously used a free trial for Layrd, you will be charged immediately upon subscribing.

3.3 Auto-Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel at least 24 hours before the renewal date. Payment is charged through your Apple ID account.

The subscription automatically renews for the same price and duration as the original subscription period unless:

• You cancel the subscription at least 24 hours before the current period ends, or
• We change the subscription price (you will be notified in advance and asked to consent if required).

3.4 Payment

Payment will be charged to your Apple ID account at the confirmation of purchase or at the end of the free trial period. All payments are processed through Apple's App Store, and we do not have access to your payment information.

3.5 Managing and Canceling Subscriptions

You can manage and cancel your subscription at any time through your Apple ID settings:

1. Open the Settings app on your iOS device
2. Tap your name at the top
3. Tap Subscriptions
4. Select Layrd
5. Tap Cancel Subscription

You can also manage subscriptions through the App Store app or at https://apps.apple.com/account/subscriptions.

Canceling your subscription will not delete your account or your data. You will retain access to Premium features until the end of your current billing period.

3.6 Refund Policy

All purchases are processed through Apple's App Store and are subject to Apple's refund policies. We do not process refunds directly.

To request a refund:

1. Visit https://reportaproblem.apple.com
2. Sign in with your Apple ID
3. Find the Layrd subscription charge
4. Select "Report a Problem" and follow the instructions

Refund approval is at Apple's sole discretion.

3.7 Price Changes

We reserve the right to modify subscription prices at any time. Price changes will be communicated to you in advance through the App or via email. If you do not agree to the new pricing, you may cancel your subscription before the price change takes effect.

Layrd does not require you to create a separate account. The App works entirely offline on your device. You are responsible for maintaining the confidentiality of your Apple ID credentials and for all activity that occurs on your device.

You must be at least 13 years old to use the App.

You agree to use the App only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the App in any way that violates any applicable laws or regulations
• Attempt to gain unauthorized access to any portion of the App
• Interfere with or disrupt the App
• Reverse engineer, decompile, or disassemble the App
• Use automated systems to access the App without our permission

You are solely responsible for:

• The data you export and share with third parties
• Configuring your privacy profiles before export
• Compliance with the terms of service of third-party AI services
• Reviewing exported data before sharing

The App and its original content, features, and functionality are owned by SARL Pitsana and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial purposes, subject to these Terms.

Built-in prompt templates are licensed for personal use only. All trademarks, logos, and service marks displayed in the App are the property of SARL Pitsana or third parties.

You retain ownership of any content you create in the App, including data packs, privacy profiles, and exports. Layrd processes this content locally on your device and does not transmit it to any servers we control.

You are solely responsible for the content you create and share, and for ensuring you have the right to use any third-party material you include in your content or in the packs you export.

All data processing happens locally on your device. Layrd does not operate servers to store your personal data.

Your use of the App is subject to our Privacy Policy, available at https://www.pitsana.com/heva-pulse/layrd/privacy. By using the App, you consent to our collection and use of your data as described in the Privacy Policy.

We are committed to protecting your privacy and complying with applicable data protection laws, including GDPR and CCPA.

The App integrates with third-party services, including:

• Apple HealthKit : for accessing health and activity data (local access only, permission required)
• Apple Calendar and Reminders: for accessing events and tasks (local access only, permission required)
• Apple App Store: for subscription management
• Apple Foundation Models / Apple Intelligence : for optional on-device AI assistance, available only on supported devices
• Firebase (Google) : for analytics and crash reporting

Your use of these third-party services is subject to their respective terms and privacy policies.

10.1 Informational Use

Layrd is designed to prepare and export personal data to AI assistants. AI-generated insights or suggestions are provided for informational purposes only and may contain inaccuracies. Always verify important information against authoritative sources, and do not rely on the App as a substitute for professional, medical, legal, or other expert advice.

10.2 Service Availability

The App is provided on an "AS IS" and "AS AVAILABLE" basis. We do not warrant that:

• The App will be uninterrupted, secure, or error-free
• Defects will be corrected
• The App is free of viruses or harmful components
• Results from using the App will be accurate or reliable

To the maximum extent permitted by law, SARL Pitsana shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your use or inability to use the App
• Any unauthorized access to or use of your data stored on your device
• Any actions of third-party services to which you provide exported data
• Any bugs, viruses, or the like that may be transmitted through the App by any third party
• Any errors or omissions in any content

Our total liability to you for all claims arising from or related to the App shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or EUR 100, whichever is greater.

You agree to indemnify, defend, and hold harmless SARL Pitsana, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

• Your access to or use of the App
• Your violation of these Terms
• Your violation of any third-party rights
• Any content you submit or share through the App or exported packs

We reserve the right to suspend or terminate your access to the App at any time, without notice, for conduct that we believe:

• Violates these Terms
• Is harmful to other users, us, or third parties
• Violates applicable laws or regulations

Upon termination, your right to use the App will immediately cease. Termination does not automatically cancel your subscription — you must cancel through the App Store separately.

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of France, without regard to its conflict of law provisions.

14.2 Disputes

Any disputes arising from or relating to these Terms or the App shall be subject to the exclusive jurisdiction of the courts of France.

14.3 European Union Users

If you are a consumer based in the European Union, you also benefit from any mandatory provisions of consumer protection laws in your country of résidence.

These terms apply to your use of the App on iOS and iPadOS devices:

• These Terms are between you and SARL Pitsana only, not with Apple Inc.
• Apple has no obligation to provide maintenance or support services for the App.
• Apple is not responsible for addressing any claims relating to the App or your possession or use of the App.
• In the event of any third-party claim that the App infringes intellectual property rights, Apple is not responsible for investigation, defense, settlement, or discharge of such claim.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and have the right to enforce them against you.
• You must comply with applicable third-party terms when using the App.

We reserve the right to modify these Terms at any time. We will notify you of any material changes by:

• Posting the new Terms in the App
• Updating the "Last updated" date
• Sending you a notification (if you have enabled notifications)

Your continued use of the App after changes become effective constitutes your acceptance of the revised Terms.

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SARL Pitsana regarding the App and supersede all prior agreements and understandings.
